The agreement, estimated to be nearly £190 million, requires the approval of the Premier League.
It is uncertain if this arrangement will aid Palace in their efforts to gain eligibility for European competition in the forthcoming season.
On Thursday, Sport reported that discussions between Textor and Johnson were nearing conclusion regarding the sale of the 43% interest in Palace owned by Eagle Football Holdings, a multi-club organization established by Textor.
Insiders acquainted with the discussions have revealed that the American entrepreneurs have finalized documents to confirm the transaction.
The takeover awaits clearance from the Premier League, necessitating Johnson's successful completion of the owners' and directors' test.
Reports suggest that Johnson has expressed his ability to transfer funds swiftly, a factor that is considered pivotal in why his bid was seen as the most favorable compared to two other interested parties, particularly due to Palace's current situation with Uefa concerning their qualification for next season's Europa League.
Palace risks losing their European position, secured by winning the previous season’s FA Cup, due to perceived ties between Textor and Selhurst Park.
Uefa, the governing body for European football, is examining whether Palace violates regulations regarding clubs under identical multi-club ownership competing in a single European tournament, considering that Textor also holds an interest in Lyon, a French club that has qualified for the Europa League.
It remains uncertain if Textor’s divestment of his Palace stake will impact Uefa’s ultimate ruling.
At 78, Johnson is a former U.S. ambassador to the United Kingdom and the owner of the NFL's New York Jets since 2000.
He is part of the Johnson family, founders of the Johnson & Johnson pharmaceutical enterprise.
According to the Bloomberg Billionaires Index, his net worth was estimated to be around £6.8 billion ($9.18 billion) in 2024.
Palace has also attracted attention from other American investors.
Insider sources have pointed out that a world-renowned entertainment corporation based in Florida has expressed interest, while another consortium including NBA star Jimmy Butler has been mentioned in connection with a potential deal.
Additionally, sources linked to the investment firm Sportsbank – previously identified as the preferred bidder for Eagle Holdings during a time when Textor sought investment – have also expressed intent to make a proposal.
A decision from Uefa regarding Palace's eligibility for the Europa League is anticipated by the end of June.
